Scale EMS is a connected business management and ERP platform provided by Peregrine Falcon Messenger Services Ltd ("Peregrine", "we", "us"). It brings sales, inventory, POS, accounting, payroll, CRM, expenses, operations and business analytics together in one system, alongside this website. These Terms of Use ("Terms") govern access to and use of the platform and website.

If you create an account, keep your credentials secure and keep the information on your account accurate. You are responsible for activity that happens under your account and for the actions of users you invite or authorize within your business.

Scale EMS is provided for use in the lawful operation of your business. You may use the platform for your own business purposes and for the purposes your subscription or order terms cover.

You retain your rights to the business data and content you upload or enter into the platform. You remain responsible for that data and content, including its accuracy, its lawfulness and any permissions required for the personal data of individuals it contains.

You may not use the platform or website for unlawful purposes, to infringe the rights of others, to interfere with the service or other users, or in any way that creates risk for us or other customers.

Access to the platform may be subject to a subscription. What you pay, when you pay it and what your plan includes are governed by the pricing published on our pricing page and by any order terms that apply to your business. Where those documents conflict with these Terms on pricing matters, they prevail for your subscription.

We work to keep the service available, and the platform is designed to keep working offline when connectivity is poor. We may add, change or retire features over time as the product evolves, and we will communicate significant changes to affected customers.

The Scale EMS platform, the website and their related materials, including branding, software and content, are the intellectual property of Peregrine Falcon Messenger Services Ltd and its licensors. Except as these Terms expressly allow, no rights in them are transferred to you.

Each party should treat the other's non-public business information as confidential and use it only for the purposes of providing and using the service. You play your part by keeping credentials secure, managing user access sensibly and reporting suspected issues to us promptly.

Do not misuse the service. That includes attempting to access it other than through the intended interfaces, disrupting its operation, probing its security without authorization, or using it to host or distribute harmful or unlawful content.

The platform and website may reference or link to third-party services, such as app distribution stores or payment providers. Those services are governed by their own terms, and we are not responsible for them.

To the extent permitted by law, the platform and website are provided as is, and we do not give warranties that go beyond what these Terms, your order terms and applicable law expressly state. Nothing here limits rights that apply to you under mandatory law.

We may suspend or terminate access to the platform where there is a breach of these Terms, a security risk, or abuse of the service. Where reasonably possible, we will tell you what happened and what can be done about it.

These Terms are governed by the laws of Nigeria.

For some customers, enterprise agreements or order-specific terms apply in addition to these Terms. Where they exist, they supplement these Terms for that customer or order.
